Terms of Service

These terms govern how BridgeCo Branding delivers Google Ads management, SEO, Generative Engine Optimisation, copywriting, marketing planning, and reporting services to our clients in South Africa.

Effective date: 22 September 2026

Governing law: Republic of South Africa

Applies to: Google Ads · SEO · GEO · Copywriting · Planning & Reporting

1 Agreement to these terms

By signing a proposal or Order Form with us, instructing us to begin work, or making payment for our services, you ("the Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not engage our services.

These Terms are governed by the laws of the Republic of South Africa and apply to all Google Ads management, search engine optimisation (SEO), generative engine optimisation (GEO), copywriting, marketing planning, reporting, and related digital marketing services we provide.

2 Who we are

BridgeCo Branding ("we", "us", "the Agency") is a marketing agency registered in South Africa, registration number K2021741163, with a registered address at 43 Rodger Sishi Road, Westville, Durban, KwaZulu-Natal, 3629.

3 Our services

We provide the services set out in your signed proposal, quote or statement of work ("Order Form"), which may include any combination of the following:

Google Ads Campaign setup, keyword research, ad copy, bid management and ongoing optimisation.
Search Engine Optimisation (SEO) Technical audits, on-page and off-page optimisation, content strategy and reporting.
Generative Engine Optimisation (GEO) Optimising brand visibility, brand mentions, and content structures for AI-driven search engines and generative AI platforms.
Copywriting Website, blog, ad and email copy as scoped in your Order Form.
Marketing Planning & Reporting Strategic campaign planning, strategy sessions, performance tracking, and comprehensive analytics reporting.

Any work outside the scope of your Order Form is treated as additional work and will only be carried out once agreed and, where relevant, quoted separately.

4 Client responsibilities

To deliver our services effectively, we need you to provide timely access to relevant accounts (such as Google Ads, Google Analytics, Search Console, your website or CMS, and social platforms), brand assets, approvals and accurate business information.

Where delays in access, feedback or approvals on your side slow down a campaign, publication or ranking timeline, we will not be responsible for the resulting delay.

5 Fees, payment and advertising spend

Fees for our services are set out in your Order Form or invoice.

For Google Ads management specifically: our management fee is charged separately from your advertising spend. Advertising spend is paid by you directly to Google, or via an agreed pre-funding arrangement, and is never included in our fees.

Invoices are payable within 30 days of the invoice date. Late payment may incur interest of between 1% to 2% monthly (12% to 24% annually) and may result in suspension of services, including the pausing of active ad campaigns, until outstanding amounts are settled.

6 No guarantee of results

Search rankings, AI platform visibility, ad performance, traffic, leads, conversions and return on ad spend depend on many factors outside our control — including search engine and AI platform algorithm changes, market competition, seasonality, and the performance of your own website, offer and pricing.

We commit to applying current professional best practice and transparent reporting, but we do not guarantee specific rankings, traffic volumes, lead numbers or advertising returns.

7 Intellectual property and ownership

Once we have received full payment for a specific deliverable, ownership of the bespoke copywriting and creative content created for you under that deliverable passes to you. This excludes any pre-existing agency tools, templates, internal processes or third-party licensed material, which remain the property of the Agency or the relevant licensor.

Until full payment is received, all work remains our property. We may reference completed work in our portfolio and case studies unless you tell us in writing that you would prefer we don't.

8 Confidentiality

Both parties agree to keep confidential any non-public business, technical, financial or strategic information shared during the engagement, and to use it only to perform the services, except where disclosure is required by law.

9 Term, cancellation and termination

Services continue on the basis set out in your Order Form (for example, month-to-month or for a fixed term). Either party may cancel ongoing contracts and retainers by giving at least 60 days' written notice.

Fees for work already performed, and any costs already committed on your behalf — including pre-paid advertising spend — remain payable up to the date of termination. We may suspend or end services immediately in the case of non-payment or material breach of these Terms.

10 Limitation of liability

To the maximum extent permitted by South African law, our total liability for any claim relating to the services is limited to the fees you paid us for the specific service giving rise to the claim in the three (3) months before the claim arose.

Neither party will be liable to the other for indirect, incidental or consequential loss, including loss of profits, revenue, data or business opportunity.

11 Indemnity

You agree to indemnify us against claims arising from content, materials, trademarks or instructions you supply to us, including claims of infringement, defamation or breach of advertising standards — except where the claim arises from our own negligence or wilful misconduct.

12 Third-party platforms

Our services rely on third-party platforms such as Google Ads, Google Search, AI Generative Engines, Google Analytics, Search Console and, where relevant, Meta. These platforms set their own terms, policies and algorithms, which can change without notice and are outside our control.

We are not liable for account suspensions, policy changes, outages, or ranking, visibility, or ad-delivery changes caused by these platforms.

13 Data protection (POPIA)

We process personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA).

By using our services, you consent to us accessing and processing the data reasonably required to deliver them, including analytics and advertising account data.

14 Consumer protection and electronic transactions

Where applicable, these Terms are read together with the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002. Nothing in these Terms limits any right you may have under South African law that cannot lawfully be excluded.

15 Force majeure

Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including load shedding, internet or telecommunications failures, platform outages, natural disasters or government action.

16 Changes to these terms

We may update these Terms from time to time, for example to reflect changes to our services or the law. The updated Terms will be posted on our website with a new effective date, and continuing to use our services after that date means you accept the changes.

17 Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. Where a dispute arises, both parties will first attempt to resolve it through good-faith negotiation and, failing that, submit to the jurisdiction of the South African courts, or to mediation or arbitration if agreed in writing.
